1. Introduction

Welcome to Ayuvani ("Ayuvani", "Company", "we", "our" or "us").

These Terms & Conditions ("Terms" or "Agreement") govern your access to and use of the Ayuvani website located at https://www.ayuvani.com, together with any associated mobile applications, customer portals, digital platforms, communication channels, customer support services, APIs, or other services operated by Ayuvani from time to time (collectively referred to as the "Platform").

These Terms constitute a legally binding agreement between Ayuvani and every individual or entity accessing or using the Platform, regardless of whether such person registers an account or completes a purchase.

The Platform has been developed to facilitate the lawful sale and distribution of Ayurvedic medicines, Homeopathic medicines, herbal supplements, nutraceuticals, wellness products, healthcare products, personal care products, medical devices (where applicable), educational content, and related services.

By accessing, browsing, registering on, or using the Platform, you acknowledge that you have carefully read, understood, and agreed to be bound by these Terms together with all policies incorporated by reference.

If you do not agree with these Terms, you must immediately discontinue use of the Platform.

2. Scope of these Terms

These Terms govern every interaction between Ayuvani and users of the Platform, including but not limited to:

  1. browsing the Platform;
  2. creating or maintaining a customer account;
  3. purchasing products;
  4. submitting reviews;
  5. communicating with customer support;
  6. participating in promotional campaigns;
  7. subscribing to newsletters;
  8. using future mobile applications;
  9. participating in loyalty programmes introduced in the future;
  10. interacting through authorised WhatsApp Business channels;
  11. using AI-assisted customer support services introduced by Ayuvani.

These Terms apply irrespective of the technology used to access the Platform, including desktop computers, laptops, tablets, mobile devices, smart televisions, voice-enabled devices, APIs, or future digital interfaces supported by Ayuvani.

3. Definitions

Unless the context otherwise requires, the following expressions shall have the meanings assigned below.

"Account"

Means the registered customer account created on the Platform.

"Applicable Law"

Means all laws, statutes, rules, regulations, governmental notifications, judicial decisions, and legally binding directives applicable within the Republic of India.

"Business Day"

Means any day other than Sunday or an officially recognised public holiday during which Ayuvani ordinarily conducts business operations.

"Customer"

Means any individual or legal entity purchasing products through Ayuvani.

"Order"

Means a request submitted by a Customer to purchase one or more Products through the Platform.

"Platform"

Means the Ayuvani website, mobile applications, customer portals, APIs, digital interfaces, communication channels, and related services operated by Ayuvani.

"Products"

Means Ayurvedic medicines, Homeopathic medicines, herbal supplements, nutraceuticals, wellness products, healthcare products, personal care products, medical devices, accessories, and any other products offered through the Platform.

"User"

Means any visitor accessing or using the Platform, irrespective of whether such person registers an Account or purchases Products.

"Content"

Means all text, images, graphics, videos, logos, trademarks, software, source code, databases, layouts, product descriptions, blogs, articles, educational material, downloadable resources, and other information made available through the Platform.

"Services"

Means every facility, feature, functionality, transaction, communication channel, support service, or digital service provided by Ayuvani.

"Force Majeure Event"

Means any event beyond the reasonable control of Ayuvani, including natural disasters, epidemics, pandemics, governmental actions, cyber incidents, transportation failures, labour disputes, war, civil unrest, or similar extraordinary events.

4. Acceptance of these Terms

Your access to or use of the Platform constitutes your unconditional acceptance of these Terms.

Where you register an Account, place an Order, or otherwise continue to use the Platform after publication of revised Terms, such continued use shall constitute acceptance of the updated Terms.

If you access the Platform on behalf of a company, partnership, trust, organisation, or other legal entity, you represent and warrant that you possess the legal authority to bind such entity to these Terms.

Where you do not possess such authority, you shall not use the Platform on behalf of that entity.

5. Eligibility

The Platform is intended solely for persons legally capable of entering into binding contracts under Applicable Law.

By using the Platform, you represent and warrant that:

  1. you possess the legal capacity to enter into binding agreements;
  2. all information supplied by you is accurate and complete;
  3. you shall use the Platform only for lawful purposes;
  4. your use of the Platform shall comply with Applicable Law and these Terms.

Ayuvani reserves the right to refuse access to the Platform where eligibility requirements are not satisfied.

6. Minors

Individuals who have not attained the age required to enter into legally binding contracts under Applicable Law shall use the Platform only through a parent, legal guardian, or other authorised adult.

Ayuvani does not knowingly enter into contractual relationships directly with minors.

Any transaction conducted on behalf of a minor shall be deemed to have been authorised by the responsible parent or legal guardian.

7. User Accounts

Certain features of the Platform may require the creation of a registered Account.

Registration of an Account enables Customers to:

  1. place Orders;
  2. monitor Order status;
  3. access Order history;
  4. manage addresses;
  5. maintain wishlists;
  6. receive personalised recommendations;
  7. participate in future loyalty programmes;
  8. access future subscription services.

Registration of an Account does not guarantee acceptance of any Order.

Ayuvani reserves the right to refuse, suspend, or terminate Accounts in accordance with these Terms.

8. Registration

During registration, Users shall provide complete, accurate, and current information.

Users shall promptly update Account information whenever changes occur.

Users shall not:

  1. impersonate another person;
  2. create Accounts using false identities;
  3. provide misleading information;
  4. use temporary or fraudulent contact information;
  5. create multiple Accounts for fraudulent or abusive purposes.

Ayuvani reserves the right to verify registration information where reasonably necessary.

Failure to provide accurate information may result in suspension or termination of the Account.

9. Account Security

Users are solely responsible for maintaining the confidentiality of their login credentials.

Users shall:

  1. keep passwords confidential;
  2. avoid sharing Account credentials;
  3. use secure devices;
  4. promptly notify Ayuvani of suspected unauthorised access;
  5. log out after using shared devices.

Users shall remain responsible for all activities occurring through their Accounts until Ayuvani receives notice of unauthorised access and has had a reasonable opportunity to respond.

Ayuvani shall not be responsible for losses arising from:

  1. password disclosure by the User;
  2. phishing attacks;
  3. malware affecting the User's device;
  4. unauthorised use resulting from negligence;
  5. compromised email accounts;
  6. circumstances beyond Ayuvani's reasonable control.

10. Suspension and Termination of Accounts

Ayuvani reserves the right to suspend, restrict, or permanently terminate any Account where it reasonably believes that:

  1. these Terms have been violated;
  2. fraudulent activity has occurred;
  3. payment fraud is suspected;
  4. regulatory requirements require suspension;
  5. unlawful activity is detected;
  6. repeated abuse of promotional programmes occurs;
  7. the security of the Platform is threatened.

Suspension or termination shall not affect any accrued legal rights or obligations existing prior to such action.

Ayuvani may retain records associated with terminated Accounts where required by Applicable Law, regulatory obligations, fraud prevention requirements, taxation laws, dispute resolution, or legitimate business purposes.

11. Communication and Electronic Records

By creating an Account, placing an Order, or otherwise using the Platform, you consent to receive communications from Ayuvani through electronic means, including email, SMS, WhatsApp, in-app notifications, telephone calls, or other communication channels made available by Ayuvani.

Electronic communications may include:

  1. Order confirmations;
  2. payment acknowledgements;
  3. invoices;
  4. shipping updates;
  5. account verification;
  6. security notifications;
  7. service announcements;
  8. policy updates;
  9. promotional communications (subject to your preferences and applicable law).

Communications transmitted electronically shall satisfy any legal requirement that such communications be in writing, to the extent permitted under Applicable Law.

12. Products and Services

Ayuvani operates an online platform for the lawful sale and distribution of Ayurvedic medicines, Homeopathic medicines, herbal formulations, nutraceuticals, dietary supplements, wellness products, personal care products, healthcare products, medical devices (where applicable), healthcare accessories, and other products or services that may be introduced from time to time.

The products displayed on the Platform are offered subject to their availability, applicable laws, regulatory requirements, manufacturer guidelines, and these Terms.

Ayuvani reserves the right, at its sole discretion and without prior notice, to:

  1. introduce new products or services;
  2. discontinue existing products;
  3. modify product specifications;
  4. revise product packaging;
  5. change product availability;
  6. alter product pricing;
  7. withdraw products from sale;
  8. restrict purchases of specific products;
  9. impose quantity limitations where reasonably necessary.

Nothing contained on the Platform shall obligate Ayuvani to continue offering any particular product or service.

13. Product Availability

All products displayed on the Platform are subject to availability at the time of order processing.

Although Ayuvani endeavours to maintain accurate inventory records, temporary discrepancies may occur due to:

  1. simultaneous customer purchases;
  2. manufacturer supply interruptions;
  3. warehouse reconciliation;
  4. inventory audits;
  5. product recalls;
  6. logistics disruptions;
  7. technical system failures;
  8. Force Majeure Events.

Accordingly, placement of an Order shall not constitute a guarantee that the requested product remains available.

Where a product becomes unavailable after an Order has been placed, Ayuvani may:

  1. cancel the affected Order;
  2. partially fulfil the Order where appropriate;
  3. offer an equivalent alternative product (subject to Customer acceptance);
  4. process an eligible refund in accordance with the Refund Policy.

Ayuvani shall not be liable for any indirect or consequential loss arising solely from product unavailability.

14. Product Information and Descriptions

Ayuvani endeavours to ensure that all product information published on the Platform is accurate, complete, and regularly updated.

Product pages may include information relating to:

  1. product name;
  2. brand;
  3. manufacturer;
  4. composition;
  5. ingredients;
  6. dosage form;
  7. quantity;
  8. pack size;
  9. nutritional information;
  10. indications;
  11. usage instructions;
  12. precautions;
  13. storage requirements;
  14. expiry information;
  15. warnings;
  16. country of origin;
  17. manufacturer details;
  18. regulatory information.

Such information is generally obtained from manufacturers, authorised distributors, or publicly available regulatory sources.

While Ayuvani exercises reasonable care in publishing product information, inadvertent typographical, technical, photographic, pricing, or descriptive errors may occur.

Product images are provided for illustrative purposes only.

The appearance, colour, size, packaging, labelling, promotional material, manufacturer artwork, and printed information may vary from the actual product supplied due to manufacturer revisions or production updates.

Customers are encouraged to carefully read the product label, manufacturer instructions, and package insert accompanying the delivered product before use.

15. Product Suitability

The availability of a product on the Platform shall not be interpreted as a representation or warranty that such product is suitable for every individual.

Customers remain solely responsible for determining the suitability of products having regard to:

  1. age;
  2. allergies;
  3. existing medical conditions;
  4. pregnancy;
  5. breastfeeding;
  6. concurrent medications;
  7. dietary restrictions;
  8. physician recommendations;
  9. professional healthcare advice.

Ayuvani does not independently evaluate the medical suitability of products for individual Customers.

Where uncertainty exists regarding product suitability, Customers should seek advice from an appropriately qualified healthcare professional before purchase or use.

16. Medical and Healthcare Disclaimer

Ayuvani functions as an eCommerce platform facilitating access to healthcare and wellness products. Unless expressly stated otherwise, Ayuvani is not engaged in the practice of medicine, diagnosis, treatment, or the provision of personalised medical advice.

Information made available through the Platform, including but not limited to product descriptions, educational articles, blogs, frequently asked questions, wellness content, customer reviews, testimonials, dosage information, nutritional information, and other educational materials, is provided solely for general informational purposes.

Nothing contained on the Platform shall constitute:

  1. medical advice;
  2. diagnosis;
  3. prescription;
  4. treatment recommendation;
  5. therapeutic guarantee;
  6. professional healthcare consultation;
  7. substitute for examination by a qualified healthcare practitioner.

Customers should consult an appropriately qualified physician, Ayurvedic practitioner, Homeopathic practitioner, pharmacist, or other licensed healthcare professional before commencing, modifying, or discontinuing any treatment.

Ayuvani shall not be responsible for adverse reactions, allergic responses, improper use, misuse, self-medication, or medical decisions taken solely on the basis of information published on the Platform.

17. Pricing

All prices displayed on the Platform are quoted in Indian Rupees (INR) unless otherwise expressly stated.

Prices may include or exclude applicable taxes, shipping charges, convenience fees, handling charges, or other statutory levies depending upon the nature of the transaction and applicable legal requirements.

Ayuvani reserves the right to modify product prices at any time without prior notice.

Price revisions shall not ordinarily affect Orders that have already been accepted and successfully confirmed, except where pricing errors described in these Terms apply.

Customers remain responsible for reviewing the final payable amount before completing payment.

18. Pricing Errors

Despite reasonable efforts to maintain pricing accuracy, inadvertent errors may occur due to:

  1. system failures;
  2. software defects;
  3. manual data entry errors;
  4. promotional configuration errors;
  5. supplier information errors;
  6. technical interruptions;
  7. integration failures.

Where an Order has been placed using a manifestly incorrect price resulting from an obvious error, Ayuvani reserves the right to:

  1. cancel the Order;
  2. refuse acceptance of the Order;
  3. contact the Customer regarding the corrected price;
  4. provide an opportunity to proceed at the correct price;
  5. process a refund where payment has already been received.

Ayuvani shall not be obliged to honour pricing that is clearly erroneous or commercially unreasonable.

19. Orders

Submission of an Order constitutes an offer by the Customer to purchase products from Ayuvani.

An Order shall not be deemed accepted merely because:

  1. payment has been initiated;
  2. payment has been authorised;
  3. an automated acknowledgement has been generated;
  4. an Order number has been assigned.

Acceptance of an Order occurs only after completion of Ayuvani's internal verification procedures and confirmation that the Order can reasonably be fulfilled.

Ayuvani reserves the right to decline or cancel Orders where reasonably necessary, including in circumstances involving:

  1. inventory shortages;
  2. payment verification failures;
  3. suspected fraud;
  4. regulatory restrictions;
  5. pricing errors;
  6. technical failures;
  7. legal prohibitions;
  8. Force Majeure Events.

20. Order Verification

To protect Customers and maintain platform integrity, Ayuvani may undertake verification procedures before accepting or processing an Order.

Verification may include:

  1. Customer identity verification;
  2. payment confirmation;
  3. address verification;
  4. fraud screening;
  5. inventory confirmation;
  6. prescription verification where applicable in the future;
  7. telephone verification;
  8. email verification.

Failure to complete requested verification within a reasonable period may result in cancellation of the Order.

21. Payments

Ayuvani accepts payment through payment methods made available on the Platform from time to time.

Available payment methods may include:

  1. Credit Cards;
  2. Debit Cards;
  3. Unified Payments Interface (UPI);
  4. Net Banking;
  5. Digital Wallets;
  6. Cash on Delivery (where available);
  7. Bank Transfer;
  8. Future Buy Now Pay Later (BNPL) services, if introduced.

Availability of payment methods may vary depending upon location, Order value, product category, regulatory requirements, and risk assessment.

Ayuvani reserves the right to restrict or discontinue particular payment methods without prior notice.

22. Payment Authorisation

Every payment transaction remains subject to approval by the relevant financial institution, payment gateway, issuing bank, or payment service provider.

Ayuvani shall not be responsible for:

  1. declined transactions;
  2. payment gateway failures;
  3. banking interruptions;
  4. network outages;
  5. payment authorisation failures;
  6. card issuer restrictions;
  7. account limitations imposed by financial institutions.

Customers remain responsible for ensuring sufficient funds and valid payment credentials before initiating payment.

23. Failed Transactions

Where payment fails or cannot be successfully verified, Ayuvani may:

  1. suspend Order processing;
  2. cancel the Order;
  3. request an alternative payment method;
  4. seek additional verification;
  5. reattempt payment processing where appropriate.

Where payment has been debited but confirmation has not been received, Ayuvani shall make commercially reasonable efforts to reconcile the transaction with the relevant payment service provider before determining the appropriate course of action.

24. Taxes

All applicable taxes shall be charged in accordance with the laws of the Republic of India.

Where required, Goods and Services Tax (GST) and other statutory levies shall be included or separately displayed during checkout.

Customers are responsible for ensuring the accuracy of billing information required for tax documentation.

Ayuvani shall issue invoices in accordance with applicable taxation requirements.

Where changes in tax legislation affect product pricing, Ayuvani reserves the right to revise applicable taxes in accordance with prevailing law.

Nothing contained in these Terms shall prevent Ayuvani from recovering taxes that become payable due to legislative changes, regulatory directions, or correction of bona fide invoicing errors.

25. Shipping

Following acceptance of an Order and successful completion of all applicable verification procedures, Ayuvani shall endeavour to process and dispatch the Order within commercially reasonable timelines.

Estimated processing and dispatch periods displayed on the Platform are indicative only and shall not constitute guaranteed commitments.

Shipping schedules may vary depending upon factors including:

  1. Product availability;
  2. Inventory location;
  3. Warehouse processing;
  4. Order verification;
  5. Regulatory compliance;
  6. Payment confirmation;
  7. Delivery destination;
  8. Public holidays;
  9. Weather conditions;
  10. Force Majeure Events.

Ayuvani may utilise one or more authorised logistics partners for the fulfilment of Orders.

The selection of a logistics partner shall remain at Ayuvani's sole discretion.

Comprehensive operational procedures relating to shipping, dispatch, serviceable locations, shipping charges, delivery attempts, and shipment tracking are governed by the Shipping & Delivery Policy, which forms an integral part of these Terms.

26. Delivery

Delivery shall be deemed completed when the ordered Products are delivered to the delivery address provided by the Customer or to an authorised recipient at such address.

Customers are responsible for ensuring that:

  1. the delivery address is accurate and complete;
  2. the recipient is available to accept delivery;
  3. contact details remain accessible during the delivery process.

Where delivery cannot be completed due to incorrect address information, recipient unavailability, refusal of delivery, regulatory restrictions, or other circumstances attributable to the Customer, additional delivery attempts, redirection charges, storage fees, or return logistics costs may apply where permitted by applicable law.

Risk in the Products shall ordinarily pass to the Customer upon successful delivery, except where otherwise required by applicable law.

Customers are encouraged to inspect the shipment immediately upon receipt and promptly report any visible discrepancies or damage.

27. Delayed Delivery

Ayuvani shall make commercially reasonable efforts to deliver Orders within the estimated timelines communicated during checkout.

However, delivery schedules are estimates only and may be affected by circumstances beyond Ayuvani's reasonable control, including:

  1. transportation disruptions;
  2. severe weather;
  3. natural disasters;
  4. governmental restrictions;
  5. customs or regulatory inspections;
  6. public holidays;
  7. labour disruptions;
  8. logistics network congestion;
  9. Force Majeure Events.

Unless expressly required by applicable law, delayed delivery shall not, by itself, entitle the Customer to compensation, damages, or cancellation of the Order.

Where significant delays occur, Ayuvani shall endeavour to provide updated delivery information through available communication channels.

28. Cancellation of Orders

Cancellation of Orders shall be governed by the Cancellation Policy, which forms an integral part of these Terms.

Customers acknowledge that:

  1. submission of a cancellation request does not automatically result in cancellation;
  2. cancellation eligibility depends upon the operational status of the Order;
  3. certain Orders may become non-cancellable after packaging or dispatch;
  4. regulatory requirements may restrict cancellation of specific healthcare products.

Ayuvani reserves the right to cancel Orders where reasonably necessary, including but not limited to circumstances involving:

  1. pricing errors;
  2. inventory shortages;
  3. suspected fraudulent activity;
  4. regulatory requirements;
  5. failed payment verification;
  6. technical failures;
  7. Force Majeure Events.

Where an eligible refund arises following cancellation, such refund shall be governed exclusively by the Refund Policy.

29. Returns

The return of Products supplied by Ayuvani shall be governed exclusively by the Return Policy.

Customers acknowledge that:

  1. not every Product qualifies for return;
  2. return eligibility varies according to Product category;
  3. healthcare and wellness products may be subject to additional restrictions;
  4. return requests remain subject to inspection and verification;
  5. compliance with the Return Policy is mandatory before any return can be approved.

Nothing contained in these Terms shall create an unconditional right to return Products beyond the circumstances expressly provided in the Return Policy or required under applicable law.

30. Refunds

Refunds shall be governed exclusively by the Refund Policy.

Customers acknowledge that:

  1. cancellation does not automatically create a right to refund;
  2. return approval does not automatically result in reimbursement;
  3. refunds remain subject to verification and applicable eligibility requirements;
  4. refund processing periods may vary according to the original payment method and financial institution.

Ayuvani shall process eligible refunds in accordance with the procedures and timelines specified in the Refund Policy.

31. Promotional Offers

From time to time, Ayuvani may conduct promotional campaigns, marketing programmes, seasonal sales, introductory offers, loyalty initiatives, coupon programmes, cashback schemes, bundled product offers, or other promotional activities.

Unless expressly stated otherwise, promotional offers shall be:

  1. subject to availability;
  2. limited in duration;
  3. governed by these Terms;
  4. subject to additional campaign-specific conditions.

Ayuvani reserves the right to:

  1. introduce new promotional programmes;
  2. modify promotional terms;
  3. withdraw promotional campaigns;
  4. limit participation;
  5. discontinue offers without prior notice, subject to applicable law.

Participation in promotional programmes constitutes acceptance of any additional terms published in connection with the relevant promotion.

32. Promotional Codes and Coupons

Promotional codes, coupon codes, discount vouchers, referral benefits, or similar incentives issued by Ayuvani are intended solely for lawful promotional purposes.

Unless expressly stated otherwise:

  1. promotional codes cannot be exchanged for cash;
  2. promotional codes possess no independent monetary value;
  3. promotional codes may be subject to minimum purchase requirements;
  4. promotional codes may expire after the specified validity period;
  5. promotional codes may be restricted to specified Products or categories.

Ayuvani reserves the right to invalidate promotional codes where misuse, technical error, fraudulent activity, or breach of these Terms is reasonably suspected.

33. Loyalty and Reward Programmes (Future Ready)

Ayuvani may introduce customer loyalty programmes, reward points, membership benefits, subscription programmes, cashback incentives, or similar customer engagement initiatives in the future.

Participation in any such programme shall be subject to separate programme terms published at the time of launch.

Unless expressly stated otherwise:

  1. reward points shall not constitute legal tender;
  2. reward points shall not be redeemable for cash;
  3. accumulated benefits may expire;
  4. participation may be suspended for fraudulent activity or breach of these Terms.

Ayuvani reserves the right to modify or discontinue any loyalty programme in accordance with applicable law.

34. Gift Cards and Digital Vouchers (Future Ready)

Ayuvani may introduce physical or electronic gift cards, prepaid vouchers, store credits, or similar payment instruments.

Unless otherwise specified:

  1. gift cards shall be redeemable only through authorised Ayuvani channels;
  2. gift cards shall remain non-refundable except where required by applicable law;
  3. gift cards shall not ordinarily be redeemable for cash;
  4. lost, stolen, damaged, or unauthorised gift cards may not be replaced unless required by law.

Separate terms governing gift cards shall apply upon introduction of such services.

35. Store Credits (Future Ready)

Ayuvani may, at its sole discretion, issue store credits in connection with promotional campaigns, goodwill gestures, customer support resolutions, or other business purposes.

Store credits:

  1. may be subject to validity periods;
  2. may be restricted to eligible Products;
  3. may not be transferable unless expressly authorised;
  4. may not be redeemed for cash except where required by applicable law.

The issuance of store credit shall not create an obligation upon Ayuvani to issue similar credits in future circumstances.

36. Reservation of Rights

Nothing contained in this Part shall restrict Ayuvani's right to:

  1. refuse or cancel Orders;
  2. modify shipping methods;
  3. discontinue Products;
  4. revise promotional programmes;
  5. suspend misuse of offers;
  6. recover benefits obtained through fraud or abuse;
  7. comply with regulatory directions;
  8. protect its legitimate commercial interests.

Such rights shall be exercised reasonably, in good faith, and subject to applicable law.

37. User Conduct

Users shall access and use the Platform in a lawful, responsible, and ethical manner consistent with these Terms and all Applicable Laws.

By using the Platform, each User agrees to refrain from any activity that may compromise the integrity, security, availability, reputation, or lawful operation of Ayuvani or its services.

Without limitation, Users shall not:

  1. use the Platform for any unlawful or fraudulent purpose;
  2. impersonate another individual or entity;
  3. create false identities or misleading accounts;
  4. submit inaccurate or deceptive information;
  5. interfere with the operation or security of the Platform;
  6. attempt unauthorised access to any account, database, server, or network;
  7. upload malicious software, viruses, worms, ransomware, spyware, or other harmful code;
  8. engage in automated scraping, crawling, harvesting, or extraction of Platform data without prior written authorisation;
  9. circumvent security measures or access controls;
  10. interfere with another User's use of the Platform;
  11. manipulate pricing, promotions, reviews, ratings, or loyalty programmes;
  12. use the Platform to distribute spam, unsolicited communications, or malicious content;
  13. infringe the intellectual property rights of Ayuvani or any third party;
  14. violate any Applicable Law while using the Platform.

Ayuvani reserves the right to investigate suspected violations and to take appropriate action, including suspension or termination of Accounts, cancellation of Orders, restriction of access, or reporting unlawful conduct to competent authorities.

38. Prohibited Activities

In addition to the obligations set forth above, Users shall not:

  1. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used by the Platform;
  2. reproduce, duplicate, copy, sell, resell, license, lease, or commercially exploit any portion of the Platform without prior written permission;
  3. use bots, scripts, artificial traffic generators, or automated purchasing mechanisms except where expressly authorised;
  4. manipulate inventory availability or checkout processes;
  5. exploit software vulnerabilities or security weaknesses;
  6. perform denial-of-service attacks or other activities intended to disrupt Platform operations;
  7. misuse customer support services or submit frivolous, abusive, or repetitive complaints.

Ayuvani reserves all rights and remedies available under Applicable Law in respect of such conduct.

39. Intellectual Property Rights

Unless otherwise expressly stated, the Platform and all Content made available through it are the exclusive property of Ayuvani or its licensors and are protected under Applicable Laws relating to copyright, trademarks, patents, trade secrets, database rights, and other intellectual property rights.

Protected materials include, without limitation:

  1. the Ayuvani name;
  2. logos and trade dress;
  3. website design and layout;
  4. user interface elements;
  5. graphics and illustrations;
  6. photographs;
  7. product catalogues;
  8. software;
  9. databases;
  10. source code;
  11. application programming interfaces (APIs);
  12. documentation;
  13. written content;
  14. educational resources;
  15. blogs;
  16. videos;
  17. audio recordings;
  18. marketing materials;
  19. compilations and derivative works.

No ownership rights are transferred to Users by virtue of accessing or using the Platform.

40. Limited Licence

Subject to these Terms, Ayuvani grants Users a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for lawful personal and non-commercial purposes.

This licence does not permit Users to:

  1. modify Platform Content;
  2. reproduce substantial portions of the Platform;
  3. distribute Platform materials;
  4. create derivative works;
  5. publicly display Platform Content;
  6. commercially exploit Platform resources;
  7. sublicense any rights granted under this licence.

Any use beyond the scope of this limited licence requires Ayuvani's prior written consent.

41. Trademarks

All trademarks, service marks, logos, trade names, product names, domain names, and branding displayed on the Platform are the property of Ayuvani or their respective owners.

Nothing contained in these Terms shall be construed as granting any licence or right to use any trademark without the prior written consent of the respective owner.

Unauthorised use of trademarks is strictly prohibited.

42. Copyright

All original Content published on the Platform is protected by copyright under Applicable Law.

Users may not reproduce, publish, transmit, adapt, translate, distribute, or commercially exploit copyrighted materials without prior written authorisation unless such use is expressly permitted by law.

Where Users believe that material appearing on the Platform infringes their copyright or other intellectual property rights, they may notify Ayuvani using the contact details provided in these Terms.

43. Customer Reviews and Ratings

Ayuvani may permit Customers to submit reviews, ratings, testimonials, comments, or feedback relating to Products or services.

By submitting a review, the Customer represents and warrants that:

  1. the review reflects a genuine experience;
  2. the information provided is accurate to the best of the Customer's knowledge;
  3. the review does not contain unlawful, defamatory, abusive, discriminatory, obscene, misleading, or infringing material;
  4. submission of the review does not violate any third-party rights.

Ayuvani reserves the right, but not the obligation, to moderate, edit, decline, remove, or refuse publication of any review that, in its reasonable opinion:

  1. violates these Terms;
  2. contains offensive or inappropriate language;
  3. includes personal information;
  4. promotes unrelated products or services;
  5. constitutes spam;
  6. is fraudulent or misleading;
  7. exposes Ayuvani to legal liability.

Publication of a review does not imply endorsement by Ayuvani.

44. User-Generated Content

Where the Platform permits Users to upload content including photographs, videos, comments, suggestions, testimonials, reviews, questions, or other materials ("User Content"), the User shall retain ownership of such content.

However, by submitting User Content, the User grants Ayuvani a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to:

  1. host;
  2. store;
  3. reproduce;
  4. display;
  5. publish;
  6. distribute;
  7. adapt;
  8. translate;
  9. modify;
  10. promote;
  11. use the User Content for the operation, improvement, promotion, and administration of the Platform.

The foregoing licence shall continue for so long as reasonably necessary for the purposes for which the User Content was submitted, unless otherwise required by Applicable Law.

Users remain solely responsible for the legality, accuracy, and authenticity of User Content submitted through the Platform.

45. Feedback and Suggestions

Any ideas, recommendations, proposals, suggestions, feedback, or improvement requests voluntarily submitted to Ayuvani may be used by Ayuvani without restriction or obligation to provide compensation.

Nothing contained herein shall require Ayuvani to implement any suggestion received from a User.

46. Third-Party Links and Services

The Platform may contain links to third-party websites, applications, payment gateways, courier partners, healthcare resources, manufacturers, social media platforms, or other external services.

Such links are provided solely for convenience.

Ayuvani does not own or control third-party platforms and is not responsible for:

  1. their availability;
  2. security;
  3. privacy practices;
  4. content;
  5. products;
  6. services;
  7. representations;
  8. policies;
  9. performance.

Access to third-party services shall be governed exclusively by the terms and policies of the respective third party.

Users access such third-party resources at their own risk.

47. Website Availability

Ayuvani shall use commercially reasonable efforts to maintain the availability and security of the Platform.

However, uninterrupted access cannot be guaranteed.

The Platform may become temporarily unavailable due to:

  1. scheduled maintenance;
  2. emergency maintenance;
  3. software upgrades;
  4. infrastructure improvements;
  5. telecommunications failures;
  6. cyber security incidents;
  7. hardware failures;
  8. Force Majeure Events.

Ayuvani reserves the right to suspend or restrict access where reasonably necessary to maintain system integrity, protect Users, or comply with Applicable Law.

48. Future Artificial Intelligence Services

Ayuvani may introduce artificial intelligence ("AI") or machine learning-powered features, including but not limited to:

  1. virtual health assistants;
  2. product recommendation systems;
  3. conversational customer support;
  4. order assistance;
  5. wellness guidance;
  6. multilingual support;
  7. search optimisation;
  8. automated customer service.

Such AI-powered services are intended solely to improve the customer experience and operational efficiency.

Unless expressly stated otherwise, AI-generated responses:

  1. are informational in nature;
  2. do not constitute medical advice;
  3. do not replace consultation with qualified healthcare professionals;
  4. may contain inaccuracies or incomplete information.

Customers remain responsible for exercising independent judgment and obtaining professional healthcare advice where appropriate.

Ayuvani reserves the right to monitor, improve, modify, suspend, or discontinue AI-powered services at any time.

49. Electronic Communications and Digital Records

Users acknowledge that electronic communications exchanged through the Platform, including emails, SMS messages, WhatsApp communications, push notifications, invoices, and digital confirmations, may constitute legally valid communications to the extent permitted under Applicable Law.

Electronic records maintained by Ayuvani in the ordinary course of business shall, unless demonstrated otherwise, constitute prima facie evidence of the relevant transaction or communication.

50. Reservation of Rights

Except for the limited rights expressly granted under these Terms, all rights, title, and interests in and to the Platform remain exclusively vested in Ayuvani and its licensors.

Failure by Ayuvani to enforce any provision of these Terms on any occasion shall not constitute a waiver of its right to enforce such provision or any other provision in the future.

51. Limitation of Liability

To the fullest extent permitted under Applicable Law, Ayuvani, its directors, officers, employees, affiliates, licensors, suppliers, technology partners, logistics partners, payment service providers, and authorised representatives shall not be liable for any indirect, incidental, consequential, exemplary, punitive, special, or economic damages arising out of or relating to:

  1. access to or use of the Platform;
  2. inability to access the Platform;
  3. purchase or use of Products;
  4. delays in processing Orders;
  5. delayed deliveries;
  6. cancellation or rejection of Orders;
  7. stock unavailability;
  8. pricing inaccuracies;
  9. payment gateway interruptions;
  10. technical failures;
  11. loss of business opportunities;
  12. interruption of business;
  13. anticipated profits or revenue;
  14. corruption or loss of data;
  15. unauthorised access to User Accounts resulting from User negligence;
  16. cyber incidents beyond Ayuvani's reasonable control;
  17. acts or omissions of third-party service providers.

Nothing in these Terms shall exclude or limit liability that cannot lawfully be excluded or limited under Applicable Law.

Where liability cannot be excluded, Ayuvani's aggregate liability arising out of a specific transaction shall, to the extent permitted by law, be limited to the amount actually paid by the Customer for the relevant Order giving rise to the claim.

52. General Disclaimer

The Platform, Products, Content, and Services are provided on an "as available" and "as is" basis, subject to Applicable Law.

Ayuvani does not warrant that:

  1. the Platform shall operate without interruption;
  2. the Platform shall always remain error-free;
  3. every Product shall always remain available;
  4. Product information shall always be completely free from typographical or technical errors;
  5. communications shall always be uninterrupted;
  6. third-party services shall remain continuously available.

Reasonable commercial efforts are undertaken to maintain the quality, accuracy, and reliability of the Platform; however, no guarantee is provided regarding uninterrupted availability.

53. Product Disclaimer

Ayuvani acts as an authorised distributor, retailer, marketplace operator, or facilitator, as applicable, for Products supplied by manufacturers, distributors, and authorised suppliers.

Except where expressly required by Applicable Law, Ayuvani does not independently manufacture the Products sold through the Platform.

Product quality, composition, efficacy, ingredients, usage instructions, warnings, shelf life, regulatory approvals, and therapeutic claims remain the responsibility of the respective manufacturer.

Customers are encouraged to carefully review:

  1. product labels;
  2. package inserts;
  3. manufacturer instructions;
  4. storage recommendations;
  5. dosage guidance;
  6. expiry dates;
  7. regulatory warnings.

56. Indemnification

The User agrees to indemnify, defend, and hold harmless Ayuvani, its affiliates, directors, officers, employees, agents, licensors, suppliers, contractors, successors, and assigns from and against any claims, demands, actions, proceedings, liabilities, damages, losses, costs, penalties, fines, and reasonable legal expenses arising directly or indirectly from:

  1. breach of these Terms;
  2. violation of Applicable Law;
  3. infringement of third-party rights;
  4. misuse of the Platform;
  5. fraudulent activity;
  6. submission of false information;
  7. unauthorised use of another person's Account;
  8. User-generated content submitted by the User;
  9. negligent or unlawful conduct attributable to the User.

This indemnity shall survive termination of these Terms to the extent permitted by Applicable Law.

57. Force Majeure

Ayuvani shall not be deemed in breach of these Terms nor liable for any delay or failure in performing its obligations where such delay or failure results from events beyond its reasonable control.

Force Majeure Events include, without limitation:

  1. natural disasters;
  2. earthquakes;
  3. floods;
  4. fires;
  5. epidemics;
  6. pandemics;
  7. governmental actions;
  8. war;
  9. terrorism;
  10. civil disturbances;
  11. strikes or labour disputes;
  12. transportation failures;
  13. cyber security incidents;
  14. power failures;
  15. telecommunications outages;
  16. failures of third-party infrastructure;
  17. judicial or regulatory restrictions.

During the continuance of a Force Majeure Event, Ayuvani may suspend, modify, postpone, or discontinue affected Services without incurring liability beyond obligations imposed by Applicable Law.

58. Suspension of Services

Ayuvani reserves the right to suspend, modify, restrict, or discontinue any part of the Platform or Services where reasonably necessary for:

  1. system maintenance;
  2. infrastructure upgrades;
  3. security improvements;
  4. legal compliance;
  5. fraud prevention;
  6. operational requirements;
  7. business restructuring.

Where reasonably practicable, advance notice of planned maintenance shall be provided through the Platform or other communication channels.

59. Governing Law

These Terms and all disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the Republic of India, without regard to principles of conflict of laws.

The rights and obligations of the parties shall be interpreted consistently with Applicable Law.

60. Dispute Resolution and Arbitration

Ayuvani encourages Customers to first seek resolution of any dispute by contacting its customer support team.

Where a dispute cannot be resolved amicably, the parties shall endeavour to resolve the matter through good-faith negotiations.

If the dispute remains unresolved, it may, subject to Applicable Law, be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.

Unless otherwise agreed:

  1. the arbitration shall be conducted by a sole arbitrator appointed in accordance with Applicable Law;
  2. the seat and venue of arbitration shall be New Delhi, India;
  3. the arbitration proceedings shall be conducted in the English language;
  4. the arbitral award shall be final and binding upon the parties, subject to rights available under Applicable Law.

Nothing contained herein shall prevent either party from seeking interim or injunctive relief before a court of competent jurisdiction where permitted by law.

61. Jurisdiction

Subject to the arbitration provisions above and Applicable Law, the courts situated in New Delhi, India, shall have exclusive jurisdiction over all matters arising out of or relating to these Terms.

Where Applicable Law confers jurisdiction upon consumer forums or other statutory authorities, nothing contained herein shall prejudice such statutory rights.

62. Notices

Any notice required under these Terms may be provided:

  1. through the Platform;
  2. by email;
  3. through SMS;
  4. via registered post or courier;
  5. through officially authorised electronic communication channels.

Users are responsible for ensuring that their registered contact information remains current and accurate.

64. Severability

If any provision of these Terms is held by a court or competent authority to be invalid, unlawful, or unenforceable, such provision shall be interpreted to the maximum extent permissible under Applicable Law, and the remaining provisions shall continue in full force and effect.

65. Waiver

Failure by Ayuvani to enforce any provision of these Terms on one or more occasions shall not constitute a waiver of its right to enforce that provision or any other provision at a later time.

No waiver shall be effective unless expressly made in writing by an authorised representative of Ayuvani.

66. Assignment

Users may not assign, transfer, delegate, or otherwise dispose of their rights or obligations under these Terms without Ayuvani's prior written consent.

Ayuvani may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or other lawful business reorganisation, subject to Applicable Law.

67. Entire Agreement

These Terms constitute the complete and exclusive agreement between Ayuvani and the User regarding access to and use of the Platform.

These Terms shall be read together with the following policies, each of which forms an integral part of this Agreement:

  1. Privacy Policy;
  2. Shipping & Delivery Policy;
  3. Cancellation Policy;
  4. Return Policy;
  5. Refund Policy;
  6. Any additional policies or guidelines published by Ayuvani from time to time.

In the event of any inconsistency, the policy specifically governing the relevant subject matter shall prevail to the extent of such inconsistency.

68. Amendments

Ayuvani reserves the right to amend, modify, replace, or update these Terms from time to time to reflect changes in:

  1. Applicable Law;
  2. judicial decisions;
  3. regulatory requirements;
  4. business operations;
  5. technology;
  6. Products and Services;
  7. security requirements.

Updated versions shall become effective upon publication on the Platform unless otherwise required by Applicable Law.

69. Survival
